Terms governing access to and use of the AIST platform

About these Terms
These Terms of Service (the "Terms") govern access to and use of AIST, including the website at https://aistlabs.ai, the AIST web application, APIs, agent interfaces, community features and any related services that link to these Terms (collectively, the "Service").
The Service is operated by AI STORYTELLING LIMITED, a company incorporated under the laws of the Republic of Cyprus with registration number HE 467978, VAT number 60112489B and registered office at 25 Martiou, 27, D. Michael Tower, Flat/Office 105A, Egkomi, 2408, Nicosia, Cyprus ("AIST", "we", "us" or "our").
By creating an account, clicking to accept these Terms, purchasing a Subscription or Credits, or accessing or using the Service, you agree to these Terms. If you use the Service for an organisation or a client, "you" includes that organisation or client to the extent you are authorised to bind it.
Business eligibility and authority
The Service is offered for business, trade, craft and professional use, not primarily for personal, family or household purposes. You may use the Service as a company, agency, freelancer, social media manager, creator, consultant, sole trader or other professional, whether or not you operate through an incorporated entity.
You must be at least 18 years old and legally able to enter into a binding contract. If you act for an employer, client, brand or other organisation, you represent that you have authority to use the Service, submit its materials, approve charges and bind that party to these Terms.
If mandatory law treats you as a consumer despite the business-use restriction above, nothing in these Terms excludes or limits any right that cannot lawfully be excluded or limited.
Accounts, Workspaces and authorised users
You must provide accurate account and billing information and keep it current. You are responsible for safeguarding passwords, API keys and other credentials and for all activity performed through your account, including activity by invited team members, connected agents and authorised integrations.
A Workspace may contain multiple users and multiple brands or clients. Workspace owners and administrators may access, manage, publish, export and delete Workspace content, change permissions and incur charges. Members should not expect their Workspace activity to be private from authorised Workspace administrators.
You must promptly notify us at support@aistlabs.ai if you suspect unauthorised access. You may not sell accounts or credentials, create accounts in bulk to evade limits, or permit anyone under 18 to use the Service.
The Service
AIST is an AI-powered creative platform for developing branded content. Features may include Brand Brain, product and brand analysis, concept development, scripts, references, prompts, image and video generation, content management, Community, APIs, agents and related tools.
AIST may use third-party artificial intelligence models, cloud infrastructure, payment services and other providers. Models, features, credit rates, limits and providers may change over time. We do not guarantee the continued availability of a particular model or provider, provided that the Service continues to offer substantially similar overall functionality.
AI systems are probabilistic. Outputs may contain errors, artefacts or unexpected elements and may not precisely follow instructions. You must review each Output before publishing or relying on it. The Service and Outputs are not legal, financial, medical or other professional advice.
Features identified as beta, preview, experimental or free may be changed, limited or discontinued at any time and may be less reliable than generally available features.
Customer Content and Brand Brain
"Customer Content" means text, prompts, instructions, URLs, brand information, logos, trademarks, images, video, audio, music, voices, documents, product information, data and other material that you submit, upload, connect, make available or direct AIST to collect or process. Customer Content includes inputs to AI models ("Inputs") and information stored in Brand Brain.
As between you and AIST, you retain all rights in Customer Content. You grant AIST a non-exclusive, worldwide, royalty-free licence to host, copy, process, adapt and transmit Customer Content only as reasonably necessary to provide, maintain, secure, support and improve the Service for you, comply with law, enforce these Terms and exercise the specific public-content rights described under Community and public showcases below. This operational licence includes the right to provide Customer Content to service providers acting for AIST.
Private Customer Content is private to the relevant Workspace by default. AIST does not use, and does not authorise its AI service providers to use, Private Customer Content to train general-purpose generative AI models unless you give a separate affirmative opt-in. Processing Customer Content to generate an Output, personalise the Service for your Workspace, detect abuse, provide support or measure technical performance is not model training.
We may generate aggregated or de-identified usage information that does not reasonably identify you, a natural person, a client or a brand. We may use that information to operate, secure, analyse and improve the Service and our business.
Your responsibilities for Customer Content
You are responsible for Customer Content and the instructions you provide. You represent and warrant that:
you own Customer Content or have all permissions, licences, releases and legal bases needed for AIST to process it and for you to use the resulting Outputs;
you are authorised to act for every brand or client whose materials you submit or publish;
where Customer Content includes a person's name, image, likeness, voice, personal data or other identifiable attributes, you have obtained all required permissions and provided all required notices;
Customer Content and your use of Outputs do not infringe intellectual property, privacy, publicity, confidentiality, contractual or other rights; and
you will not submit special-category, highly sensitive or confidential personal data unless a Service feature expressly requires it and you have lawful authority to do so.
Public competitor advertisements, websites and creative references may be analysed for inspiration and pattern recognition, but their availability does not transfer third-party rights to you. You must not use the Service to create an unlawful copy or misleading imitation of another person's work, identity or brand.
Outputs and commercial use
"Output" means content generated by the Service in response to Customer Content or your instructions. As between you and AIST, and to the maximum extent permitted by law, you own the Output generated specifically for you. AIST hereby assigns to you any right, title and interest that AIST may have in that Output, subject to these Terms, third-party rights and any restrictions clearly disclosed for a particular third-party model or feature before use.
You may use Outputs for lawful commercial purposes, including Outputs created through a free or beta offering. These commercial-use rights survive expiry or cancellation of a Subscription and may be transferred or licensed to your clients.
AIST does not promise that copyright or any other intellectual property right will arise in an Output. Outputs may not be unique, and another user may receive a similar or identical result. AIST does not conduct legal clearance searches and does not warrant that an Output is original, exclusive or non-infringing. You are responsible for any clearance, disclosure, labelling or human review required before publication or commercial use.
Community and public showcases
Customer Content and Outputs remain private unless you or an authorised Workspace user deliberately publish them to Community or otherwise designate them as public ("Public Content"). Selecting "Publish to Community", enabling an auto-publish setting, entering a public showcase or taking a comparable publication action is a request to make the selected material public.
Publishing may automatically create a publicly accessible and search-engine-indexable showcase page without a separate preview. The page may include the selected Output, brand or account name, logo, category, product information, creative objective, tone of voice, project description, a link to the brand website and a statement that the work was created with AIST. AIST may prepare factual contextual copy from information in the relevant Workspace and publicly available brand information. We will not intentionally invent performance results, customer endorsements, return on investment or similar claims.
When you publish Public Content, you grant AIST a non-exclusive, worldwide, royalty-free, transferable in connection with a corporate transaction and sublicensable to our service providers, hosting providers, advertising platforms and distribution partners licence to host, reproduce, display, publicly perform, communicate, distribute and promote that Public Content, together with the selected brand name, logo and website link, for:
operating and promoting Community and public AIST showcase pages;
featuring examples on AIST websites, social media accounts, newsletters and editorial or public-relations materials;
promoting AIST through paid digital advertising, sales presentations and demonstrations; and
creating technical adaptations such as thumbnails, crops, resized versions, transcodes, excerpts and layouts, provided we do not materially misrepresent the Public Content or the brand.
The licence above is granted without additional compensation. It does not allow AIST to sell your Public Content as a standalone stock asset, license it for an unrelated third party's advertising, or use Private Customer Content or Public Content to train general-purpose generative AI models without a separate opt-in.
By publishing, you confirm that you are authorised to make the content, brand name, logo and related information public and to grant this licence. AIST may label, rank, feature, moderate, refuse or remove Public Content in its discretion.
Unpublishing Public Content
You may unpublish Public Content through available content controls or by contacting support@aistlabs.ai. We will remove it from active Community display promptly and will use reasonable efforts to stop new promotional use and remove it from marketing channels under our control within 30 days.
Unpublishing does not require AIST to recall completed campaigns, printed materials or presentations, remove historical internal records, or control copies, reposts, search-engine caches, web archives or third-party uses made while the content was public. Previously distributed materials may remain in archival form but will not be used for new active campaigns after the removal period.
Subscriptions and payment
Paid plans may be offered as monthly or annual subscriptions (each, a "Subscription"). Prices, included features, credit allocations, billing frequency and currency are shown before purchase. Prices exclude taxes unless stated otherwise. You are responsible for applicable VAT and other taxes, except taxes based on our income.
Subscriptions are billed in advance and renew automatically for successive periods of the same length until cancelled. By subscribing, you authorise AIST and its payment processor to charge the payment method associated with your account at each renewal. Annual Subscriptions are charged for the year in advance even though Subscription Credits are allocated monthly.
Payments are processed by third-party payment providers, including Stripe. AIST does not receive or store full payment-card numbers. You must keep payment and billing information current. We may retry failed payments, restrict paid functionality or suspend a past-due account.
We may change Subscription prices prospectively. We will provide at least 30 days' advance notice of a price increase affecting an active Subscription, and the new price will apply from the next renewal occurring after that notice period. You may cancel before renewal if you do not accept the change.
Credits
Subscription Credits
Each plan includes a stated allocation of Subscription Credits for each monthly service period. Subscription Credits do not roll over. Any unused Subscription Credits expire at the end of that monthly service period and are replaced, not increased, by the new monthly allocation after a successful renewal or during an active annual Subscription.
For example, if a plan includes 745 Subscription Credits and 200 remain immediately before the next monthly allocation, the Subscription Credit balance becomes 745, not 945, when the new allocation is issued.
Top-up Credits
Credits purchased separately from a Subscription ("Top-up Credits") expire 90 days after purchase. Unless the checkout states otherwise, Subscription Credits are consumed before Top-up Credits. A later Subscription allocation does not extend the expiry date of Top-up Credits.
Promotional Credits
Free, trial, bonus or promotional Credits expire on the date or under the conditions stated when issued. They may be withdrawn if they were granted by mistake, obtained through abuse or connected with a reversed or fraudulent transaction.
General Credit terms
Credits are a limited, revocable right to access designated Service features. They are not money, electronic money, a deposit, a stored-value account or property; they have no cash value; and they are non-transferable, non-refundable and non-redeemable for cash except where these Terms or mandatory law expressly provide otherwise.
The number of Credits required for a model or operation may vary and may change prospectively. Where reasonably practicable, AIST will display the applicable Credit charge or estimate before you authorise a chargeable generation. Our usage ledger is the authoritative record of allocations, reservations, charges and restorations, except in the case of a manifest error.
Generations, retries and Credit restoration
AIST may reserve Credits when a chargeable generation starts and settle the charge when a usable Output is successfully delivered. Internal retries of the same generation do not create an additional charge. A timeout, repeated request or system retry must not result in duplicate charging for the same successfully delivered generation.
If a generation finally fails without delivering a usable Output, reserved Credits will be released or charged Credits will be restored automatically within a reasonable technical period. A technical failure may include an AIST or provider error, terminal timeout, a queued job cancelled before completion, a missing result or a corrupted and unusable file.
If a safety, moderation, copyright or intellectual-property filter rejects a generation and no Output is delivered, the related Credits will also be restored. Repeated or deliberate attempts to generate prohibited content may nevertheless result in restrictions or suspension.
For multi-item or batch tasks, AIST may charge for each usable Output successfully delivered and restore Credits attributable to failed items. If Credits have already been restored and a provider later completes the generation, AIST may withhold the late Output or reapply the previously disclosed Credit charge before making it available.
A technically completed Output that is accessible and usable is not a failed generation merely because you dislike its style, composition, motion, interpretation or creative quality, or because your prompt, Input, selection or instruction was incorrect. Regenerations and creative revisions may require additional Credits.
If an expected Credit restoration does not appear, contact support@aistlabs.ai with the generation identifier. A Credit restoration is the standard remedy for a failed generation and does not create a separate right to a cash refund.
Cancellation and refunds
Cancelling a Subscription
You may cancel automatic renewal through the account billing controls or by contacting support@aistlabs.ai from the account email address. Cancellation takes effect at the end of the current paid Subscription period. You retain access until then, and unused Subscription Credits continue to expire on their normal monthly schedule. Cancellation does not itself produce a refund.
First Subscription purchase
You may request a refund of your first paid Subscription purchase within seven days after purchase if no paid Credit from that Subscription has been used. If approved, the Subscription ends immediately and all associated Credits and paid features are removed. Subscription renewals, subsequent Subscription purchases and periods in which any paid Credit was used are non-refundable, except as required by law.
Top-up purchases
You may request a refund of a Top-up Credit pack within seven days after that pack was purchased if no Credit from that specific pack has been used. Once any Credit from that pack has been used, the pack is non-refundable. Promotional Credits are never refundable.
Other refunds
We will correct duplicate or demonstrably erroneous payment charges. If AIST permanently discontinues a paid Service without providing substantially similar functionality, or terminates an account without cause, we may provide a reasonable pro-rata refund of prepaid, unused Subscription fees and unexpired unused Top-up Credits. Refunds are returned to the original payment method where practicable.
Refund requests must be sent to support@aistlabs.ai with the account email, purchase date and transaction details. Nothing in this section limits any non-waivable statutory right.
Mandatory consumer rights
The Service is intended for Business Users. If mandatory consumer law nevertheless applies, you retain any statutory withdrawal, conformity, refund and dispute-resolution rights. By requesting immediate access or starting a generation during a statutory withdrawal period, you expressly request that performance begin immediately. Where legally effective, you acknowledge that supplying digital content or fully performing a service may reduce or end a withdrawal right and that you may owe a proportionate amount for service supplied before withdrawal. This paragraph applies only to the extent permitted by mandatory law.
Acceptable use
You must not use, or help another person use, the Service to:
break the law, violate sanctions or export controls, facilitate fraud or create deceptive or misleading content intended to cause harm;
infringe intellectual property, privacy, publicity, confidentiality or contractual rights;
create sexual exploitation material, non-consensual intimate imagery, unlawful depictions of minors, threats, targeted harassment or instructions for serious wrongdoing;
clone or imitate a person's voice, face, identity or endorsement without appropriate rights and lawful justification;
introduce malware, probe or disrupt security, scrape the Service without permission, overload infrastructure, bypass rate limits or circumvent billing and Credit controls;
reverse engineer protected elements of the Service except where that restriction is prohibited by law; or
use the Service or Outputs to train or develop a competing general-purpose AI model where that use is prohibited by applicable plan terms or technical restrictions.
We may investigate suspected violations, refuse or remove content, preserve evidence, restrict features, suspend accounts and report conduct where reasonably required by law or safety considerations.
Intellectual property complaints
If you believe content available through the Service infringes your copyright, trademark, publicity or other rights, email support@aistlabs.ai with your contact details, identification of the protected work or right, the location of the challenged content, an explanation of the claim and a statement that the information is accurate and submitted in good faith. We may remove content and may terminate repeat infringers where appropriate.
AIST technology and feedback
AIST and its licensors retain all rights in the Service, software, interfaces, workflows, templates, patterns, models, documentation, branding and technology, excluding Customer Content and Outputs assigned to you under these Terms. No right is granted except as expressly stated.
If you provide suggestions or feedback, you grant AIST a worldwide, perpetual, irrevocable, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as the source without permission.
Confidentiality and data protection
AIST will use reasonable organisational and technical measures to protect Private Customer Content and will process personal data as described in the AIST Privacy Policy. These Terms do not replace a separately executed non-disclosure agreement or data processing agreement. Business customers requiring processor-specific terms may request AIST's Data Processing Agreement.
Availability and third-party services
We aim to provide a reliable Service but do not guarantee uninterrupted or error-free availability. Maintenance, capacity constraints, third-party provider failures, network incidents, model safety systems and events outside our reasonable control may delay or interrupt the Service.
Third-party services may have their own terms and privacy notices. AIST is not responsible for a third-party service's independent acts or omissions, but this does not affect our obligations to restore Credits for failed generations as expressly described above.
Suspension, termination and deletion
You may stop using the Service and request deletion of your account at any time. Cancelling a Subscription does not automatically delete the account or its content.
We may restrict or suspend access immediately if reasonably necessary to address non-payment, fraud, security risk, unlawful activity, material breach, risk to other users or providers, or legal requirements. We may terminate for a material breach that is not cured within a reasonable period where cure is possible.
On account deletion, active Customer Content is scheduled for deletion within 30 days and may remain in routine backups for up to 90 days, subject to legal, tax, accounting, fraud-prevention, security, dispute and public-content retention described in these Terms and the Privacy Policy. You should export content you need before deletion.
Subscription Credits expire when the Subscription ends. Top-up Credits expire on their stated 90-day expiry date or when the account is deleted, subject to any refund required by law or expressly provided above.
Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available". AIST disclaims implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement and uninterrupted availability. We do not warrant that Outputs will meet your creative or commercial objectives, be accurate or unique, qualify for intellectual property protection, comply with every platform policy, or be free of third-party claims.
You remain responsible for creative approval, factual verification, legal review, advertising disclosures, rights clearance and the decision to publish, distribute or rely on an Output.
Limitation of liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, wilful misconduct, or death or personal injury caused by negligence where applicable.
To the maximum extent permitted by law, AIST and its directors, employees, affiliates, suppliers and licensors will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for loss of profits, revenue, business, opportunity, reputation, goodwill, data or anticipated savings, arising from or relating to the Service, even if advised that such loss is possible.
To the maximum extent permitted by law, the aggregate liability of AIST and the parties described above arising from or relating to the Service or these Terms will not exceed the greater of EUR 100 and the total amount you paid to AIST for the Service during the 12 months immediately preceding the event giving rise to the claim. This cap applies in aggregate to all claims and all theories of liability.
Indemnity
To the extent permitted by law, you will defend, indemnify and hold harmless AIST and its affiliates, directors, employees and service providers from third-party claims, losses, liabilities, damages and reasonable costs arising from your Customer Content, Public Content, instructions, breach of these Terms, unlawful use of the Service, or infringement of another person's rights. This obligation does not apply to the extent a claim was caused by AIST's breach of these Terms or wilful misconduct.
Changes to the Service or Terms
We may update the Service and these Terms. If a change materially affects your rights or an active paid Subscription, we will provide reasonable advance notice by email, in-product notice or another appropriate method. Changes normally apply prospectively. Continued use after the effective date constitutes acceptance, unless mandatory law requires a different form of consent.
Governing law and disputes
These Terms and any non-contractual obligations arising from them are governed by the laws of the Republic of Cyprus, without regard to conflict-of-law rules. The courts of the Republic of Cyprus have exclusive jurisdiction, except where mandatory law gives an eligible consumer the right to bring a claim in another forum.
Before starting formal proceedings, each party should make a good-faith effort to resolve the dispute by written notice. Notices to AIST should be sent to support@aistlabs.ai and should describe the relevant account, facts and requested resolution.
General terms
You may not assign these Terms without AIST's written consent, except as part of a bona fide sale of substantially all of your business or assets relating to the Service. AIST may assign these Terms as part of a merger, reorganisation, financing or sale of assets. Neither party is liable for delay caused by events beyond its reasonable control.
If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, any checkout terms and any signed order form or enterprise agreement form the entire agreement for the Service; a signed agreement controls over these Terms to the extent of a conflict.
